Know What Matters_

“Successful business requires dancing an intimate tango with clients, not clinging to a business plan.”

Nicolas Rosenthal

From Best-Practices to Governance

Establishing, executing and interpreting the rules in place can be an interminable and unclear task for your Board of Directors. Rosenthal Law Firm will collaborate with the Board and CEO to form personalized tools and systems to best manage and run your corporation or company.

Rosenthal Law Firm tasks itself with the optimization of the Board of Directors. We provide counselling, capability building, and aid in developing new insights to improve the effectiveness of the board.

An effective Board of Directors has a great understanding of where their company creates value, their strategies, and the potential risks. These Boards evaluate resource allocation, embrace robust feedback, and debate alternative strategies. They assess trends, uncertainties and discuss where value will be created with the CEO.

Unengaged Boards, on the other hand, can destroy value by focusing exclusively on fiduciary activities or overemphasizing short-term financial results. This is a danger to the company as the Board can make decisions with lasting and significant repercussions.

Rosenthal Law Firm will also optimize the collaboration between management and the Board by facilitating strategic discussions or CEO succession plans.

Rosenthal Law Firm mainly focuses on aspects of improving the results of the Board of Directors.

We lead group and one-on-one discussions with Board members and chairpersons to improve the knowledge of the Board and help Directors build a long-term mind-set. Most Boards spend significantly more time on fiduciary activities rather than on value-enhancing discussions. Our research has shown that effective Boards often interact with their management teams and engage in continuous improvement activities such as regular feedback and performance discussions.

New regulatory requirements, particularly in the banking sector, drive increased subsidization of multinational organizations. We have developed a unique approach for creating an integrated group and subsidiary governance framework.
